Acuity Law advises founders of Hiut Denim Co. on ownership transition

Key Contact: Johnathan Rees

We are pleased to have advised the founders of Hiut Denim Co., David and Clare Hieatt, on the sale of their iconic Welsh denim business to EAAVL Beteiligungsgesellschaft mbH, a family-owned investment group based in Northern Germany.

The transaction marks a significant milestone in the journey of Hiut Denim, a company that has become synonymous with craftsmanship, community, and sustainable British manufacturing. Acuity Law acted as lead legal advisor to the Hieatts, supporting them through the full transaction process and ensuring a smooth transition to new ownership that will safeguard the company’s future in Cardigan.

The deal builds on the long-standing relationship of Johnathan Rees, Senior Partner in Acuity Law’s Corporate team, with the Hieatts, spanning almost 20 years. This began with the sale of Howies – the Hieatts’ sustainable clothing brand – to Timberland in 2006. This history of partnership provided the foundation for trusted, commercially sensitive advice during a pivotal moment for both the founders and the business.

Johnathan Rees commented on the transaction:

“We have had the privilege of advising David and Clare for many years and have seen first-hand the integrity and purpose that underpin everything they do. Hiut Denim represents the best of Welsh enterprise – creative, values-driven, and deeply connected to its community. Supporting the founders through this transition has been an honour, and we are proud to have played a role in securing the company’s long-term future.”

Founded in 2011, Hiut Denim was born from the Hieatts’ mission to bring jean-making back to Cardigan after the closure of Dewhirst’s facility in 2002. The brand quickly established a global reputation for quality and sustainability, gaining international attention in 2018 when the Duchess of Sussex, Meghan Markle, wore its jeans.

EAAVL, a family business with a focus on long-term stewardship, has now assumed full ownership of Hiut Denim after becoming a minority shareholder in late 2024. The acquisition will maintain the company’s base in Cardigan and continue its mission of “doing one thing well” – making world-class jeans in Wales.

David Hieatt said:

“This marks an important new chapter for Hiut Denim, and we couldn’t have reached this point without the steady, thoughtful support of Acuity. Johnathan and the team have advised us through some of the biggest decisions in our journey, always with care, clarity and an understanding of our mission. We’re proud of what Hiut has become and confident that the company’s future in Cardigan is in safe hands.”
