Our Corporate team works to make business happen, supporting our business clients from start-up and Series A funding rounds through to exit. Along the way, we advise on acquisitions, disposals and the transactions that enable our clients to achieve their ambitions.

Whatever the size or complexity of the transaction, we align your business strategy with clear and commercial legal advice to minimise risks and maximise returns.

Our corporate team takes a proactive approach to deals and we work with our clients with a positive and “can do” approach. We will always work to provide solutions to technical challenges and to align our style and approach to support your commercial negotiations.

We are experts in project management and enjoy taking a lead adviser role to coordinate the professional team on a deal and through the execution phase. We offer a 24/7 service and one where you will have on-call access to a talented and experienced team. Our mantra is to work with you to “make business happen” and on the best possible terms. 

Our services include early stage investments including venture capital, SSEIS / EIS and angel investment, growth and development investment, including private equity funding, mergers, acquisitions and disposals, joint ventures and partnering arrangements, management buy-outs and management buy-ins, employee share schemes and enterprise management incentives, business transfers and restructuring.

Work highlights

  • Advising the sellers on the £21.5 million sale of Astutis Limited, a leading player in the field of workforce health and safety training, to Wilmington plc. 
  • Advising AIM-listed Facilities by ADF plc, the leading provider of premium serviced production facilities to the UK film and high-end television industry, on its acquisition of Location One, the UK’s largest integrated TV and film location service and equipment hire company. 
  • Advising Licentia Group Ltd, the owner of Mypinpad, an innovator in mobile card payments acceptance and identity authentication software services, on a substantial investment round of $13 million (c. £10.2 million) led by Crossfin Holdings, as well as in connection with its merger with SmartPesa, a leading provider of payments and agency banking solutions.
  • Advising on a trio of acquisitions for leading UK timber importer Premier Forest Products, including Decor Panel Limited, PWIDF and North-East Sheets & Panels Ltd (NESP). 
  • Acting for Warwick Capital Partners on its investment in Eden Living, a new private rented-sector business, as part of its European Opportunities Fund III. 
  • Advising the UK arm of global packaging specialist Tri-Wall on its acquisition of The Corrugated Case Company, a Derbyshire-based sheet plant manufacturer. 
  • Acting for Brickability Group Plc on its acquisitions of Modular Clay Products, a leading supplier of UK and Imported clay facing bricks to the specification sector; and ET Clay Products and Heritage Clay Tiles, a specialist supplier of UK and imported clay facing bricks and high quality handmade and handcrafted clay roof tiles.
  • Acting for Sinclair Motor Group in its acquisition of Shukers from Rubery Owen Group.
