Prominent Building Society

Advised on full due diligence and the preparation and perfection of a comprehensive property, corporate and development security package in connection with a £26.5 million refinance and redevelopment of a landmark building in Ealing, London, to create 112 residential units. The team also advised on intra-group property transfers, rectified historic title and access issues, and provided planning and construction advice to ensure perfected security for the lender.

£5million funding round

Advising the developers on a £5million funding round in connection with the development of five luxury townhouses in the heart of London. Our role was to provide advice to the development company to ensure that the documents protected our client’s ability to continue to operate the company and progress the development whilst ensuring the terms were satisfactory to the investor.

£8million term loan facility

Advising an aerospace company and its subsidiaries on an £8 million term loan facility agreement for refinancing, growth capital and working capital purposes. This involved negotiation of key documents, advising the client on their effects.

£8.8million Private Bank Restructuring

Advising a Private Bank on an £8.8 million restructuring of a client group and its impact on a loan facility letter and associated security documents. Reviewing and commenting on the restructure paper, reviewing acquisition documents and ancillaries, establishing which consents and clauses of the facility letter were impacted and negotiation of key documents.

Development Bank of Wales

Advising the Development Bank of Wales with full due diligence in a £43 million development loan including drafting and perfecting a full suite of property, corporate and development security in a facility to assist with the refinance of a development site in the Vale of Glamorgan, South Wales.

€11.2million multi-currency term loan facility

Advising a financial services company and its subsidiaries on the €11,200,500 multi-currency term loan facility agreement for restructuring and general corporate purposes. Involving reviewing and agreeing the LMA light style loan agreement, and reporting on security documents, deed of release and ancillary documents.

£25million LMA Term Loan Facility

Advising a provider of assisted care apartments on a £25,000,000 LMA term loan facility and providing the funder’s solicitor with two City of London Law Society Certificates of Title (CLLS COTs) in respect of two purpose-built blocks of assisted care apartments, comprising c.150 apartments in each block.
