The work of our Commercial team has a strong technology bias and we advise a broad range of clients across a number of sectors including med-tech and life sciences, software and IT, telecoms, digital media, universities, and spinouts.

  • Advising on the sale of Divergent Technologies Ltd, a London-based Web3 engineering team and a market leader in NFT and smart contract solutions, to US company Proof Holdings, Inc
  • Acted on the sale of Trusted Data Solutions’ legacy data management business to Kerv
  • Advised NorthRow on the terms of its SaaS agreement with a large international software company specialising in employee payroll solutions
  • Advising Creditsafe Group on an alliance agreement for developing new services for its customers
  • Advising the shareholders of software developer, Jane IT Systems Limited, on the sale of its business to Juniper Education Holdings Limited, a provider of tailored software, training and professional services to schools and learning organisations
  • Supporting ScanSource on contractual matters arising from the restructuring of its UK business
  • Advising Ice Arena Wales on the operation of its ice sports arena and the naming rights for the arena
  • Advising Aqualisa on various contracts for its operations, including warehousing and stock management arrangements
  • Advising Portman Healthcare on its payroll services contract
  • Drafting and negotiating an agreement to appoint a restaurant operator at a property leased by a company in which it has invested
  • Advising a leading ultrafast fibre broadband provider on various rural communications network infrastructure programmes across the UK
  • Advising Progressive Technology Solutions on various international SaaS, reseller, IT services and software development agreements with its international clients in the oil and gas industry, including those in the North Sea and Nigeria
  • Advising Creditsafe on various licensing and support agreements and IT and telecommunications matters
  • Advising Carno, a fast-growing green-tech company, on the structure for its contracting agreements and data protection compliance. We also assisted Carno in negotiating contracts with major customers
  • Advising a leading UK university on commercialising various mobile apps and drafting the associated terms and conditions of use and privacy policies
  • Advising a health and social care charity on its middle and back-office business and IT transformation programme
  • Advising myPinPad, a global leader in payment acceptance and authentication software solutions, and its parent company Licentia Group on corporate, IT, communications, and contractual matters
  • Advising Furbnow, an online platform specialising in energy efficiency, on the contracts it will require with users, assessors and contractors
